Terms of Service

zimmboard is a shared planning board for you, your team, and your AI agents, operated by Dream State Investments LLC ("we", "us"). By creating an account or using zimmboard you agree to these terms. We've tried to keep them readable — the short version is: your boards are yours, you're responsible for the agents you connect, Pro is a simple subscription you can cancel anytime, and we provide the service as-is while it's early. Our Privacy Policy explains how we handle your data and is part of these terms.

1. Your account

• You need an account to use zimmboard. Give us accurate information and keep your password and API keys private — you're responsible for everything done through your account, including by AI agents using keys you created.
• You must be at least 13 years old (or the minimum age in your jurisdiction) to use zimmboard.
• One person per account. If you join a board owned by someone else, the board owner controls that board and can remove you from it.

2. Your content

• You own it. The boards, projects, tasks, notes, decisions, and files you or your agents create ("your content") belong to you. We claim no ownership.
• So that we can run the service, you give us a limited license to store, display, back up, and transmit your content — only as needed to provide zimmboard to you and the people you share a board with. This license ends when you delete the content or your account, subject to the backup window described in the Privacy Policy.
• You're responsible for having the rights to anything you upload, and for not storing content that is illegal or infringes someone else's rights.
• Your plan is never locked in: you can export any board you can access as Markdown or JSON at any time.

3. AI agents

zimmboard is built to be read and updated by AI agents that you connect using keys and connectors you create and control. A few things follow from that:

• Agents act with your authority. Changes an agent makes to a board are treated as changes you made, and every change is recorded in the board's Activity log so you can see who or what did it.
• We don't send your data to any AI provider ourselves. When your agent reads a board, that data goes to whichever AI you chose, under that provider's terms — the same as if you had pasted it into a chat.
• AI output is your agent's, not ours. We don't guarantee that anything an agent writes to your board is accurate or complete; review it as you would any assistant's work.
• You can scope a key read-only and revoke any key instantly. Revoking a key does not undo changes it already made.

4. Acceptable use

Don't use zimmboard to break the law, infringe others' rights, or harm the service. In particular, you agree not to:

• upload malware, or content that is illegal, harassing, or that you don't have the right to share;
• probe, scrape, overload, or interfere with the service or its security, or circumvent plan limits and quotas;
• share account credentials, resell access, or use the service on behalf of a third party without their consent;
• use automated access in ways that put unreasonable load on the service. Normal agent traffic is what the product is for; abusive traffic is rate-limited and may be blocked.

We may suspend or remove content or accounts that violate these terms. Where practical, we'll tell you why and give you a chance to export your data.

5. Plans, billing, and cancellation

• Free. One board, solo, with 100 MB of file storage. Free forever, with the full session-start and session-wrap loop your agents use.
• Pro. Unlimited boards, teammates (who join free), and 2 GB of file storage, for $8.99 per month or $89 per year, billed in US dollars. Prices exclude any taxes we're required to collect.
• Payments are handled by Stripe. We never see or store your card number. By subscribing you authorize Stripe to charge your payment method at the start of each billing period until you cancel.
• Renewal and cancellation. Pro renews automatically. You can cancel anytime from Account settings → Manage billing; cancellation takes effect at the end of the period you've already paid for, and you keep Pro until then. We don't prorate or refund partial periods, except where the law requires it or where we've failed to provide the service.
• After a downgrade, you keep access to the boards and teammates you already have; the Free limits apply only to creating new ones.
• Price changes. If we change Pro's price, we'll give you at least 30 days' notice by email before it affects a renewal. Early-access pricing stays in place for as long as your subscription remains continuously active.
• Failed payments. If a renewal payment fails, Stripe will retry it. If it can't be collected, your account returns to the Free plan; nothing is deleted.

6. The service may change

zimmboard is early and actively developed. We may add, change, or retire features. If we retire something you rely on, we'll try to give reasonable notice and keep your data exportable. We take nightly backups, but we don't offer a formal uptime guarantee, and you should keep your own copies of anything critical.

7. Ending things

• You can stop using zimmboard anytime. To delete your account entirely, email us and we'll remove it and every board you own, as described in the Privacy Policy. Export first — deletion is permanent after the backup window.
• We may suspend or close an account for a serious or repeated violation of these terms, or if required by law. Where practical we'll warn you first and give you a chance to export your data.

8. Disclaimers

zimmboard is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise the service will be uninterrupted, error-free, or that any agent's output will be accurate.

9. Limitation of liability

To the fullest extent permitted by law, Dream State Investments LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business, arising out of your use of zimmboard. Our total liability for any claim relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim or $50. Some jurisdictions don't allow these limits, in which case they apply to the extent permitted.

10. Indemnity

You agree to defend and hold us harmless from claims and costs arising from your content, the agents you connect, or your violation of these terms or someone else's rights.

11. Governing law and disputes

These terms are governed by the laws of the State of Indiana, USA, without regard to conflict-of-law rules. If something goes wrong, email us first — most issues can be sorted out directly. Any dispute that can't be resolved informally will be handled in the state or federal courts located in Indiana, and you consent to their jurisdiction.

12. Changes to these terms

If we make material changes, we'll update this page and its effective date and notify account holders by email. Continuing to use zimmboard after a change takes effect means you accept the updated terms.
